🇬🇧 Senior Managers and Certification Regime (SM&CR) is a United Kingdom regulatory framework, administered by the Financial Conduct Authority (FCA) and the Prudential Regulation Authority (PRA), that holds senior individuals at financial services firms — including insurers, brokers, and Lloyd's market participants — personally accountable for the activities within their areas of responsibility. Originally introduced for banks after the 2008 financial crisis, the regime was extended to the insurance sector in December 2018, replacing the earlier Approved Persons Regime and significantly raising the accountability bar for leadership across the market.

📐 The framework operates through three interconnected pillars. The Senior Managers Regime requires firms to assign prescribed responsibilities — such as oversight of underwriting, claims management, or compliance — to named individuals who must be pre-approved by the regulators. The Certification Regime obliges firms to annually assess and certify that employees in roles capable of causing significant harm (for example, senior underwriters or those with delegated authority) are fit and proper, even though these individuals do not require direct regulatory approval. Finally, Conduct Rules establish baseline behavioral standards that apply to virtually all employees, from junior staff to the board.

⚖️ Within insurance, SM&CR has reshaped governance practices at every level. MGAs and coverholders operating in the Lloyd's market, for instance, must ensure that their senior managers' responsibilities align with the expectations set out by both Lloyd's and the regulators. Failures attract personal enforcement action — a powerful incentive that has driven investment in regtech solutions for responsibility mapping, training tracking, and breach reporting. For international groups with UK-regulated entities, SM&CR compliance is now a core component of corporate governance planning, influencing everything from organizational design to executive hiring.
